Terms of Service

These Terms of Service ("Terms") govern access to and use of Medoc HMS, the clinic and hospital management software platform ("Service") provided by Globify Software Solutions Pvt. Ltd. ("Globify," "we," "us," or "our"), a company headquartered at Technopark, Thiruvananthapuram, Kerala, India.

By creating an account, signing an order form, or otherwise accessing or using the Service, you ("Customer," "you") agree to be bound by these Terms. If you are entering into these Terms on behalf of a clinic, hospital, or other organization, you represent that you have the authority to bind that organization, and "you" refers to that organization.

1. Acceptance of Terms

Access to and use of the Service is conditioned on acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.

If you do not agree with any part of these Terms, you must not access the Service.

2. Description of Service

Medoc HMS is a cloud-based clinic and hospital management platform that provides modules including, without limitation, appointment scheduling, electronic medical records (EMR), billing and invoicing, pharmacy management, laboratory management, inpatient management, multi-branch management, patient engagement, and reporting and analytics.

We may add, modify, or discontinue features of the Service from time to time. We will make reasonable efforts to notify Customers of material changes that affect core functionality already in use.

3. Account Registration and Eligibility

To use the Service, you must register for an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You must notify us promptly of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to safeguard your credentials.

4. Subscription, Fees, and Payment

Access to the Service is provided on a subscription basis as set out in your order form or as agreed at the time of purchase. Fees are billed in advance on a recurring basis, in the currency and interval specified at sign-up, unless otherwise agreed in writing.

Except where required by law, fees are non-refundable. We reserve the right to change subscription fees on renewal, with reasonable advance notice.

If a payment is not received by the due date, we may suspend access to the Service until the outstanding amount is settled, without waiving any other right or remedy available to us.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation, including healthcare and data-protection laws applicable in your jurisdiction
  • Upload or transmit any content that is unlawful, defamatory, or infringes the rights of a third party
  • Attempt to gain unauthorized access to the Service, other accounts, or the systems or networks connected to the Service
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse engineer, decompile, or attempt to extract the source code of the Service, except where permitted by law
  • Use the Service to build a competing product or service

6. Customer Data and Responsibilities

As between you and us, you retain all rights, title, and interest in the patient and operational data you input into the Service ("Customer Data"), including patient health records. We process Customer Data solely to provide and support the Service, in accordance with our Privacy Policy and any data processing terms agreed between us.

In most healthcare regulatory frameworks, the clinic or hospital using Medoc HMS is the data controller (or equivalent) for the patient data it enters, and Globify acts as a data processor or service provider. You are responsible for ensuring you have the necessary legal basis, consents, and authorizations to collect, store, and process patient data through the Service, and for complying with any professional, licensing, or regulatory obligations that apply to your practice.

You are responsible for the accuracy, quality, and legality of Customer Data and of the means by which it was acquired.

7. Intellectual Property

The Service, including its software, design, trademarks, and documentation, is owned by Globify Software Solutions Pvt. Ltd. and its licensors and is protected by intellectual property laws. These Terms do not grant you any ownership rights in the Service.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during your subscription term.

8. Confidentiality

Each party agrees to protect the other party's confidential information with the same degree of care it uses to protect its own confidential information of similar importance, and in no event with less than reasonable care, and not to disclose such information to third parties except as necessary to perform its obligations under these Terms or as required by law.

9. Service Availability and Support

We aim to maintain high availability of the Service and will use commercially reasonable efforts to provide advance notice of planned maintenance windows. Support is available as described on our support and pricing pages, or as set out in your order form.

The Service may occasionally be unavailable due to maintenance, technical issues, or events outside our reasonable control.

10. Termination

Either party may terminate a subscription in accordance with the term and notice period set out in the applicable order form. We may suspend or terminate your access to the Service immediately if you materially breach these Terms and fail to cure that breach within a reasonable period after notice, or if required to do so by law.

On termination, we will make Customer Data available for export for a reasonable period as described in our Privacy Policy, after which it may be deleted in accordance with our data retention practices.

11. Disclaimers

The Service is provided "as is" and "as available." To the maximum extent permitted by applicable law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Medoc HMS is practice-management software. It is not a substitute for professional clinical judgment. Diagnostic, treatment, and other clinical decisions remain the sole responsibility of the licensed healthcare professionals using the Service.

12. Limitation of Liability

To the maximum extent permitted by applicable law, in no event will Globify Software Solutions Pvt. Ltd. be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Service.

Our total aggregate liability arising out of or relating to these Terms or the Service will not exceed the amount you paid us for the Service in the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms limits liability that cannot be limited or excluded under applicable law.

13. Indemnification

You agree to indemnify and hold Globify Software Solutions Pvt. Ltd. harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service in violation of these Terms, applicable law, or the rights of a third party.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of India, without regard to its conflict-of-law principles. Subject to applicable law, the courts at Thiruvananthapuram, Kerala, India will have exclusive jurisdiction over any dispute arising out of or relating to these Terms.

Customers based outside India should note that certain mandatory local consumer-protection or data-protection provisions of their own jurisdiction may also apply and are not overridden by this clause.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice, such as by posting the updated Terms on this page with a new "last updated" date or by contacting you directly. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
